10-110-107 LEGAL ASPECTS/BUSINESS ORGANIZATIONS ...exploration of formation, operation, and dissolution of types of business organizations, and substantive and procedural law involving business organizations. (Associate Degree Prerequisite: 10-110-101, Paralegal Intro/Legal Ethics with a "C" or better; Technical Diploma Corequisite: 10-110-101, Paralegal Intro/Legal Ethics)

  1. Differentiate between the characteristics of sole proprietorships, partnerships, limited partnerships, registered limited liability partnerships, corporations and limited liability companies.
  2. Contrast the laws involving sole proprietorships, partnerships, limited partnerships, registered limited liability partnerships, corporations and limited liability companies.
  3. Determine the appropriate business organization for a business to adopt.
  4. Determine which legal documents are necessary to create sole proprietorships, partnerships, limited partnerships, registered limited liability partnerships, corporations and limited liability companies.
  5. Prepare documents necessary to form a Wisconsin limited partnership, registered limited liability partnership, corporation and limited liability company.
  6. Differentiate between various types of corporate forms (close corporations, non-profit corporations and professional corporations)
  7. Describe the different types of corporate relationships
  8. Identify the requirements for operating as a foreign corporation
  9. Describe the rights and obligations of corporate stockholders, directors and officers
